1. Introduction
These Terms and Conditions govern the provision of tutoring services by MEKS TUTORING SERVICES PTY LTD (ABN 36 685 942 876), trading as Theorix Academy ("Theorix Academy", "we", "our", or "us").By enrolling a student in any tutoring service provided by Theorix Academy, the parent, guardian or adult student acknowledges that they have read, understood and agree to be bound by these Terms and Conditions.These Terms form a legally binding agreement between Theorix Academy and the parent, guardian or adult student purchasing tutoring services.These Terms apply to all tutoring services offered by Theorix Academy unless otherwise agreed in writing.
2. Definitions
For the purposes of these Terms:Account means the student's enrolment account maintained by Theorix Academy.Membership means the student's ongoing monthly tutoring subscription with Theorix Academy.Membership Fee means the recurring monthly fee payable for a student's Membership.Focus Session means an additional tutoring lesson booked outside the student's regular weekly Membership lesson.Parent means a student's parent or legal guardian.Student means the individual receiving tutoring services.Tutor means any tutor employed or engaged by Theorix Academy.Services means all tutoring, mentoring, educational support, academic resources and related services provided by Theorix Academy.Website means the official Theorix Academy website and any associated online platforms operated by us.
3. Acceptance of these Terms
By enrolling a student, commencing a Membership or using any services provided by Theorix Academy, you agree to these Terms and Conditions.If the student is under 18 years of age, these Terms are accepted by the student's parent or legal guardian on the student's behalf.If you do not agree with these Terms, you must not enrol in or continue using our services.
4. Our Services
Theorix Academy provides online mathematics tutoring and academic support to students throughout Australia.Services may include:Individual tutoring
Small group tutoring
Examination preparation
Homework assistance
Academic mentoring
Revision and Focus sessions
Holiday programs
Other educational services offered from time to time.Theorix Academy may introduce, modify or discontinue services at its discretion.
5. Enrolment
Students are enrolled on an ongoing basis until their enrolment is cancelled.There is no minimum enrolment period.Enrolment is confirmed only after:the enrolment process has been completed;
payment has been successfully received; and
Theorix Academy has confirmed the student's placement.Theorix Academy reserves the right to decline or refuse an enrolment where appropriate.
Each enrolment reserves a recurring weekly lesson time for the student, subject to tutor availability and these Terms and Conditions.
6. Membership
Theorix Academy operates using an ongoing monthly Membership model.Each Membership includes one reserved weekly tutoring lesson.Membership Fees are charged monthly in advance.Membership continues until cancelled in accordance with these Terms.Memberships are personal to the enrolled student and cannot be transferred without our prior written approval.Theorix Academy may amend Membership pricing by providing reasonable notice.
7. Fees and Payment
Membership Fees are payable monthly in advance.Payments are processed securely through Stripe or another payment provider nominated by Theorix Academy.By enrolling, you authorise Theorix Academy to automatically charge your nominated payment method for recurring Membership Fees until your Membership is cancelled.Additional Focus Sessions are charged separately from the Membership Fee and must be paid before the session is conducted unless otherwise agreed.Prices published by Theorix Academy are in Australian Dollars (AUD) and include Goods and Services Tax (GST) where applicable.Theorix Academy may amend its pricing by providing reasonable notice before any change takes effect.Where payment cannot be successfully processed, future lessons may be suspended until payment has been received.
8. Scheduling Lessons
Lesson times are arranged between Theorix Academy and the student or parent.While every effort will be made to accommodate preferred lesson times, availability cannot be guaranteed.Lesson schedules may be adjusted by mutual agreement.Additional Focus Sessions may be booked subject to tutor availability.Theorix Academy reserves the right to alter tutor allocations where reasonably necessary.
9. Tutor Changes
From time to time, it may be necessary for Theorix Academy to substitute a tutor due to illness, leave, scheduling requirements or other operational reasons.Where reasonably practicable, parents will be notified in advance.Tutor substitutions do not constitute grounds for cancellation or refund.
10. Lesson Attendance
Students are expected to attend all scheduled lessons punctually and prepared to participate.Students should ensure they have access to a reliable internet connection, an appropriate learning environment, and any materials reasonably required for the lesson.Lessons commence and conclude at their scheduled times.If a student joins a lesson late, the lesson will still conclude at the scheduled finishing time. Additional time will not ordinarily be provided.Repeated lateness or non-attendance may affect the student's learning experience and may result in Theorix Academy reviewing the student's enrolment.Students are expected to have access to a functioning microphone and, where reasonably requested by the tutor, a webcam.
11. Student Cancellations and Missed Lessons
If a student is unable to attend a scheduled lesson, Theorix Academy must be notified by email at least 24 hours before the scheduled lesson time.Where at least 24 hours' notice is provided, the lesson may be rescheduled to another mutually agreed time, subject to tutor availability.If less than 24 hours' notice is provided, or if the student fails to attend the lesson without notice, the lesson will be deemed to have been delivered and no replacement lesson or refund will be provided.This policy applies regardless of the reason for the student's absence, including illness, personal commitments, technical issues on the student's side, holidays, or other unforeseen circumstances.Theorix Academy may, at its sole discretion, make exceptions in exceptional circumstances, however this does not create an ongoing entitlement to future exceptions.
12. Tutor Cancellations
If Theorix Academy or the assigned tutor is unable to deliver a scheduled lesson, we will make reasonable efforts to provide advance notice.Where a lesson is cancelled by Theorix Academy, one of the following remedies will be provided:the lesson will be rescheduled to a mutually convenient time; or
the lesson will be rescheduled; or an equivalent replacement lesson will be provided.No monetary refund will ordinarily be provided where a replacement lesson has been offered.
13. Internet and Technical Issues
As tutoring is delivered online, both Theorix Academy and the student acknowledge that occasional technical difficulties may occur.Students are responsible for ensuring they have:a stable internet connection;
a functioning computer or compatible device;
appropriate software where required; and
access to the online lesson platform.Where a lesson is significantly disrupted due to technical difficulties experienced by Theorix Academy, reasonable efforts will be made to complete, reschedule or credit the affected lesson.Where disruption is caused by the student's equipment, internet connection or technical environment, the lesson will generally continue where reasonably possible and may still be treated as delivered.
14. Additional Focus Sessions
Students may request additional one-to-one Focus Sessions outside their regular weekly Membership lesson.Focus Sessions are subject to tutor availability.Focus Sessions are charged separately from the Membership Fee at the applicable rate published by Theorix Academy at the time of booking.Unless otherwise stated, these Terms and Conditions apply equally to all Focus Sessions.
15. Refunds
Theorix Academy aims to provide high-quality educational services and fair outcomes for families.Subject to Australian Consumer Law:Membership Fees are generally non-refundable once paid.No refund will be provided for lessons missed without the required notice under Clause 11.No refund will be provided where a student cancels their Membership after Membership Fees have been paid for the current billing period.Where Theorix Academy cancels a lesson, the lesson will be rescheduled or an equivalent replacement lesson will be provided.Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law.Where Australian Consumer Law requires Theorix Academy to provide a refund, replacement or other remedy, those rights will apply.Additional Focus Sessions are non-refundable unless cancelled by Theorix Academy or otherwise required under Australian Consumer Law.
16. Withdrawal from Theorix Academy
Students may withdraw from tutoring at any time by notifying Theorix Academy in writing.Withdrawal takes effect from the end of the student's current billing period unless otherwise agreed by Theorix Academy.Cancellation of a Membership prevents future Membership Fees from being charged.Membership Fees already paid for the current billing period are non-refundable except where required by Australian Consumer Law.A student may re-enrol at any time, subject to tutor availability.
17. Student Behaviour
Theorix Academy is committed to maintaining a respectful, safe and productive learning environment.Students are expected to:behave respectfully towards tutors and other students;
follow reasonable instructions given by tutors;
participate in lessons in good faith;
avoid disruptive, offensive or inappropriate behaviour;
use respectful language at all times.Parents are responsible for supporting appropriate student behaviour during tutoring.Where inappropriate behaviour occurs, Theorix Academy may notify the student's parent or guardian.Where behaviour is considered serious or significantly disrupts the lesson, the tutor may immediately end the lesson.Where a lesson is ended due to serious misconduct by the student, the lesson will be treated as having been delivered and no replacement lesson or refund will be provided.Repeated or serious behavioural issues may result in suspension or permanent termination of enrolment at Theorix Academy.
18. Parent Responsibilities
Parents and guardians agree to:provide accurate enrolment information;
keep their contact information up to date;
ensure Membership Fees and any additional fees are paid when due;
support their child's participation in tutoring;
communicate respectfully with Theorix Academy staff.Parents acknowledge that tutoring outcomes depend on numerous factors beyond the control of Theorix Academy, including student attendance, engagement, independent study and school participation.
19. Intellectual Property
All educational materials, lesson content, worksheets, notes, presentations, questions, examples, videos, graphics, branding, website content and other resources created or supplied by Theorix Academy ("Academy Materials") remain the intellectual property of MEKS TUTORING SERVICES PTY LTD unless otherwise stated.Academy Materials are provided solely for the personal educational use of the enrolled student.Unless expressly authorised in writing by Theorix Academy, Academy Materials must not be:copied or reproduced;
distributed or shared with another person;
uploaded to websites or online platforms;
sold or commercially exploited;
modified or adapted for commercial purposes; or
used to provide tutoring or educational services to another person.Any unauthorised use of Academy Materials may result in suspension or termination of enrolment and may give rise to legal action.
20. Learning Resources
Theorix Academy may provide students with digital learning resources, worksheets, practice questions, revision materials and other educational content to support their learning.The availability, format and content of these resources may change from time to time.Access to Academy Materials does not transfer ownership of any intellectual property rights.
21. Privacy
Theorix Academy is committed to protecting the privacy of students and their families.Personal information is collected, stored and used in accordance with our Privacy Policy and applicable Australian privacy laws.By enrolling with Theorix Academy, you consent to the collection and use of personal information necessary to:administer enrolments;
communicate with students and parents;
schedule lessons;
process payments;
provide educational services; and
comply with legal obligations.Our current Privacy Policy is available on our website.
22. Lesson Recordings
Theorix Academy does not routinely record tutoring sessions.If a lesson is proposed to be recorded for educational, quality assurance or training purposes, prior consent will be obtained from the student's parent or guardian (or the student if they are over 18 years of age).Where recordings are made, Theorix Academy will explain:why the recording is being made;
how it will be used;
who may access it; and
how long it will be retained.Consent may be withdrawn at any time before the recording takes place.
23. Academic Results
Theorix Academy provides educational support designed to improve students' understanding, confidence and academic performance.However, learning outcomes depend on many factors outside our control, including but not limited to:school teaching;
student attendance;
effort and engagement;
completion of independent study;
assessment conditions; and
individual learning ability.Accordingly, Theorix Academy does not guarantee:particular grades;
examination results;
school rankings;
scholarship offers;
selective school entry;
university admission; or
any other academic outcome.
24. Complaints
Theorix Academy values feedback and is committed to resolving concerns fairly and professionally.Complaints must be submitted in writing via email.Complaints should include sufficient detail to enable an appropriate investigation.Theorix Academy will acknowledge receipt of a complaint within a reasonable time and will endeavour to investigate and respond as promptly as practicable.Submitting a complaint does not suspend any payment obligations under these Terms.
25. Limitation of Liability
To the maximum extent permitted by law, Theorix Academy is not liable for any indirect, incidental, consequential or special loss arising from the use of our services.Nothing in these Terms excludes or limits any consumer guarantees or rights that cannot lawfully be excluded under the Australian Consumer Law.Where liability cannot be excluded, our liability is limited to the maximum extent permitted by law.
26. Force Majeure
Theorix Academy will not be liable for any delay, interruption or failure to provide services where such delay or failure results from events beyond our reasonable control.These events may include, but are not limited to:natural disasters;
severe weather;
power outages;
internet outages;
government restrictions;
pandemics;
public health emergencies;
industrial action; or
other unforeseen events.Where reasonably practicable, affected lessons will be rescheduled or suitable alternative arrangements will be made.
27. Changes to these Terms
Theorix Academy may amend these Terms and Conditions from time to time.Where a material change is made, at least 30 days' written notice will be provided to enrolled families where reasonably practicable.The current version published on our website will always apply to future services provided after the effective date of the updated Terms.
28. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be severed from the remaining Terms.The remaining provisions will continue in full force and effect.
29. Governing Law
These Terms and Conditions are governed by the laws of New South Wales, Australia.Any dispute arising from or relating to these Terms or the services provided by Theorix Academy shall be subject to the non-exclusive jurisdiction of the courts of New South Wales.

Effective Date: 4 August 2026Theorix Academy is operated by MEKS TUTORING SERVICES PTY LTD (ABN 36 685 942 876).At Theorix Academy, the safety, wellbeing and dignity of every student is our highest priority.We are committed to providing a learning environment where students feel safe, respected, supported and encouraged to achieve their academic potential.This Child Safety Commitment outlines the principles and practices that guide how we create and maintain a safe learning environment for all students.
1. Our Commitment
Theorix Academy is committed to:providing a safe, inclusive and respectful learning environment;
treating every student with dignity and respect;
promoting positive relationships between tutors, students and families;
maintaining high standards of professional conduct;
responding appropriately to child safety concerns; and
continually reviewing and improving our child safety practices.The wellbeing of students will always be considered when delivering our educational services.
2. Our Learning Environment
As an online tutoring academy, we strive to ensure every lesson is conducted in a professional and supportive environment.Students should feel:respected;
encouraged;
safe to ask questions;
supported when making mistakes; and
comfortable seeking assistance.We believe that positive learning relationships contribute to both academic success and student wellbeing.
3. Tutor Standards
All tutors engaged by Theorix Academy are expected to maintain the highest standards of professionalism.Tutors are expected to:communicate respectfully with students and parents;
behave professionally at all times;
maintain appropriate professional boundaries;
provide a positive and supportive learning environment;
act honestly and ethically;
encourage respectful behaviour during lessons; and
comply with all applicable laws and child safety requirements.Where required by law, tutors will hold a valid Working With Children Check.
4. Online Safety
As lessons are delivered online, Theorix Academy takes reasonable steps to promote a safe online learning environment.Lessons are conducted using reputable online platforms selected by Theorix Academy.Students should participate from an appropriate learning environment wherever reasonably possible.Parents or guardians are welcome to discuss lesson arrangements with Theorix Academy if they have concerns regarding online safety.Theorix Academy does not routinely record tutoring sessions.If a lesson is proposed to be recorded for educational, quality assurance or training purposes, we will first obtain the consent of the student's parent or guardian (or the student if they are over 18 years of age).
5. Respectful Behaviour
We expect all members of the Theorix Academy community to treat one another respectfully.This includes:students;
parents and guardians;
tutors; and
members of our team.Bullying, harassment, discrimination, abusive language, intimidation or inappropriate behaviour will not be tolerated.Where necessary, inappropriate behaviour may result in lessons being ended or enrolment being suspended or terminated in accordance with our Terms & Conditions.
6. Communication
Theorix Academy aims to maintain open and professional communication with families.Parents and guardians are encouraged to contact us if they have questions or concerns regarding their child's learning or wellbeing.We aim to respond to enquiries and concerns respectfully and promptly.
7. Reporting Concerns
If a student, parent or guardian has any concerns regarding child safety or the conduct of a tutor, they are encouraged to contact Theorix Academy as soon as possible.All concerns will be treated seriously, handled respectfully and reviewed as promptly as reasonably practicable.Where appropriate, concerns will be investigated and appropriate action taken.
8. Privacy and Confidentiality
Child safety concerns and personal information will be handled sensitively and in accordance with our Privacy Policy and applicable Australian privacy laws.Information will only be shared where reasonably necessary, required by law or authorised by the individuals involved.

Theorix Academy is committed to continually reviewing and improving our policies, procedures and practices to support student safety and wellbeing.As our academy grows, we will continue to develop our child safety practices in line with legal requirements and recognised best practice.
